Bardi Fuels — Terms of Service

1. What Bardi Fuels is

Bardi Fuels is a private market-information service — a price-reporting portal that publishes indicative prices, bids and offers, market commentary, and trade recaps for the physical biodiesel and biofeedstock markets to a closed group of the operator's vetted professional clients. Its purpose is to keep those clients informed; it is a reporting and commentary service, not a place to transact.

Consistent with that purpose, Bardi Fuels does not operate a trading venue or other multilateral system, does not match buyers and sellers, does not receive, transmit, arrange or execute orders, does not act as broker, dealer, agent or counterparty, and does not hold or handle any funds, instruments or commodities.

2. Information, not advice or an offer

The service publishes market information for the client's own use and judgement. Nothing in it is an offer, solicitation, recommendation or invitation to enter into any transaction, nor investment, trading, financial, legal, tax or other professional advice. Users act on their own judgement and at their own risk.

3. Indicative prices — for information, not as a benchmark or reference price

The prices Bardi Fuels reports are indicative and non-binding, and may be delayed, incomplete or inaccurate. They are published to inform the operator's clients, not to serve as a settlement or reference price. Accordingly, the information is not a regulated benchmark or index within the meaning of Regulation (EU) 2016/1011 (the Benchmarks Regulation), is not a price assessment, and Bardi Fuels does not act as a benchmark administrator, contributor or assessor. Users shall not use, and undertake not to use, any information from the service: (a) as a reference to determine the amount payable under, or to price, value, settle or close out, any financial instrument or financial contract; (b) as a reference for any fund; or (c) for any other use that would cause the information to constitute a "benchmark" under Regulation (EU) 2016/1011 or cause Bardi Fuels to be treated as its administrator.

4. Transactions happen off-platform

Because the service only reports the market, any transaction a client decides to do is concluded bilaterally between that client and its counterparty, off-platform, on terms they negotiate and verify independently. Bardi Fuels is not a party to, and bears no responsibility for, any such transaction.

5. Eligibility — professional users

The service is provided solely to professionals acting for purposes within their trade or business, who are vetted and approved by Bardi Fuels. Users represent that they so act and are competent to assess the information. Access is personal and may not be shared. The service is not directed at, and may not be used by, consumers; the Code de la consommation does not apply.

6. Accounts & acceptable use

You are responsible for your account and credentials. You must not attempt to access data you are not authorised to see, scrape or redistribute the content, interfere with the service, or use it other than as intended. We may suspend or terminate access for breach.

7. No warranty

The service and all information are provided "as is" and "as available", without warranty of any kind, including as to accuracy, completeness, timeliness, or fitness for a particular purpose, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by applicable law, Bardi Fuels shall not be liable for any indirect or consequential loss, loss of profit, revenue, business or opportunity, or for any loss arising from reliance on the information.

Bardi Fuels' total aggregate liability to a user, for all claims arising out of or in connection with the service in any twelve (12) month period, is limited to the greater of (a) the total fees (if any) paid by that user to Bardi Fuels for access to the service in that period, and (b) one thousand euros (€1,000).

Nothing in these Terms excludes or limits liability for fraud (dol), gross negligence (faute lourde), death or personal injury, or any liability that cannot be excluded or limited under mandatory French or EU law.

9. Intellectual property

All content and the service are owned by Bardi Fuels or its licensors and may not be copied, redistributed or resold without permission.

10. Privacy

Personal data is handled in accordance with our Privacy Policy, which forms part of these Terms.

11. Changes & termination

We may modify the service or these Terms; material changes will be notified in-app. We may discontinue access. Your continued use after changes constitutes acceptance.

12. Governing law & jurisdiction

These Terms are governed by French law. The courts of Paris, France have exclusive jurisdiction, subject to any mandatory rule providing otherwise.
